But with contracts, as with marriage proposals, it's better to step back before making a commitment, because divorces are long, messy, and emotionally draining affairs.&nbsp;</font><br /><br /><font color="#2a2a2a">Here are a few of the red flags - taken from real contracts I haven't signed - that should serve as indications that your work deserves to be in better hands.&nbsp;</font><br /><br /><strong><font color="#2a2a2a">Rights in Perpetuity</font></strong><br /><br /><font color="#2a2a2a">Granting rights "in perpetuity" has become increasingly common in the age of the Internet. The idea is that once your work is published online, it is there "forever." This is patently false. Anything that is published online can be removed. But once you have relinquished all your future rights, you have effectively given away your copyright. Most book contracts now ask for limited rights, either extending until the book goes out of print, or until the author asks to have the rights returned. But some literary journals follow the egregious practice of asking for rights in perpetuity.&nbsp;</font><br /><font color="#2a2a2a">Here is an example of a contract clause to avoid:</font><br /><br /><font color="#2a2a2a">"The Author grants the Publisher ... perpetual, royalty-free, worldwide rights to copyedit, publish, translate and distribute in all electronic and print formats ... in all languages throughout the world."</font><br /><br /><font color="#2a2a2a">(I've left out the long list of every format, but suffice it to say that with this initial clause, the Author has forfeited all rights.)</font><br /><br /><font color="#2a2a2a">It gets worse.<br />&#8203;</font><br /><font color="#2a2a2a">On page two of the contract, Article 5 stipulates that "If the Publisher changes its legal form, is acquired by another entity, or otherwise changes ownership, all rights and responsibilities granted in this Agreement will be transferred to the succeeding entity."<br /></font><br /><font color="#2a2a2a">Not only does the publisher retain all rights, but any succeeding publisher does as well.<br /></font><br /><font color="#2a2a2a">When I received this contract from Six Hens Publishing (a contract that was actually longer than the CNF piece I sent them),&nbsp; I immediately contacted the editors and explained why I could not sign. "But a lawyer drew it up!" they protested. That was precisely the problem. A lawyer's job is to obtain the best possible terms for the client, not to further the lofty aims of literary achievement.<br /></font><br /><font color="#2a2a2a">So, how should a contract for short work be worded?&nbsp;<br /></font><br /><font color="#2a2a2a">One sentence: "All rights revert to the author upon publication." Sometimes a literary journal will request a short period of exclusivity. That's perfectly reasonable. It is also reasonable, and courteous, to mention the first publisher when you submit your work as a reprint elsewhere. Paying journals should state how much they are paying you, and when. But if the contract is longer than a paragraph, run away.<br /></font><br /><strong><font color="#2a2a2a">Requiring authors to do their own marketing<br /></font></strong><br /><font color="#2a2a2a">Small book publishers will sometimes require that the author market their own book. While authors are certainly encouraged to promote their work, this should be&nbsp;<em>in addition to</em>&nbsp;everything a publisher does. After all, the reason writers sign with a publisher is precisely because they have marketing and publicity channels unavailable to writers.&nbsp;<br /></font><br /><font color="#2a2a2a">You won't normally find marketing specifics in the contract you receive. And chances are you will feel so overwhelmed by the sheer length of your contract, it won't occur to you to ask what they do for marketing.<br /></font><br /><font color="#2a2a2a">You need to ask.<br /></font><br /><font color="#2a2a2a">The contract that Touchpoint Press sent me for my YA fantasy, ROWENNA, was fairly standard for the industry. It specified advance (none, in this case) royalty rates, right of first refusal, and many of the other clauses included in contracts from larger publishers. (My contract with Random House was 17 pages long.) I didn't sign it immediately, because I had questions. Specifically, I wanted to know what they would do for marketing. This is what I asked:<br /></font><br /><font color="#2a2a2a"><em>1) The contract mentions Ingram. What other 3rd party distributors does TouchPoint use?<br /><br />2) I am pleased to see that there is a clause mentioning libraries. Does Touchpoint distribute titles through Overdrive? Are reviews solicited from the major publications received by librarians (Library Journal, Booklist, etc)?<br /><br />3) To which trade/industry publications does TouchPoint send requests for reviews?<br /><br />4) In addition to these, does TouchPoint submit a marketing plan to authors? If so, what does a typical marketing plan include?<br /><br />5) What is TouchPoint's usual advertising budget for marketing/promotion?</em><br /><br />Their reply was cut and pasted into my original email (which I considered unprofessional), and while it contained some details, it was essentially generic. But the real clincher was that the books they had published were only getting two or three ratings on Amazon, and no industry reviews at all. If their marketing department had been up to snuff, there would have been far more ratings on Amazon, and certainly reviews.<br /><br /><strong>Charging writers</strong><br /><br />Vanity presses are businesses that charge people for printing their books. They are completely upfront about what they charge (which can be a lot), because, typically, their customers only want to give a few books to family members and friends. There is no oversight, so what you submit is what they print.<br /><br />Hybrid presses, on the other hand, portray themselves as a "partnership" between publisher and author. However, in the end they are actually not much better than vanity presses. They charge exhorbitant fees for each publishing function (cover design, editing, printing, etc.) while offering very little of what an author actually needs from a publisher. Though hybrid publishers like to present themselves as selective, in reality they are a form of self-publishing. But instead of keeping 100% of the royalties, authors only get to keep half.&nbsp;<br /><br />A contract that charges a writer for&nbsp;<strong>anything</strong>&nbsp;is not a publishing contract. It is a printing arrangement minus the pedigree conferred by a publishing house.&nbsp;<br /><br /><br /><strong>Recommendations</strong><br /><br />Always read contracts carefully. Book contracts are almost invariably drawn up by lawyers, which means they are long and complicated. Writers need help to understand them. So, if you haven't joined&nbsp;<a href="https://authorsguild.org/" target="_blank">Authors Guild</a>&nbsp;yet, go ahead and join before you start sending queries to publishers. Authors Guild&nbsp;offers invaluable legal assistance with contracts of all types. (Even if you have an agent, it's worth your while to join Authors Guild. It's always good to get a second opinion,)<br /><br />Contracts can (and should) be negotiated. In most cases, royalty rates are carved in stone, but if you don't like how a clause is worded, or you would like more author copies, you can make a request for changes. Remember:&nbsp;<em>You</em>&nbsp;are the source of income for publishers. Publishers merely handle what you produce.</font><font color="#2a2a2a">Do your homework. Look up books the publisher has published. Do they have reviews? Are the covers professional, or do they look cobbled together from open source images? How many books have they published? Are they all written by staff members? Look "inside" a few of them on Amazon. Do you spot any editing errors? A small publisher is not necessarily a bad publisher, but be aware that their resources may be limited.<br /></font><br /><font color="#2a2a2a">Last, but not least, Google them. The title caught my eye:&nbsp;<a href="http://www.vulture.com/2013/11/daniel-menaker-on-publishing-industry-insanity.html?utm_source=Publishers+Weekly&amp;utm_campaign=c12b341d47-UA-15906914-1&amp;utm_medium=email&amp;utm_term=0_0bb2959cbb-c12b341d47-304823317" target="_blank">What Does the Book Business Look Like on the Inside?</a><br /><br />This is a question every aspiring author wants answered, especially if they are trying to make a choice between traditional and self-publishing. But as I read the article, I realized that it clarified my own experience with Random House, and it bolstered my decision to abandon the traditional publishing route with my subsequent books.<br /><br />In order to get the full sense of what Menaker had to say about his experiences with the&nbsp;<em>New Yorker</em>&nbsp;(initially) followed by Random House and HarperCollins, I ended up reading his entire book. It turned out to be quite enlightening, not just in terms of what publishers do, but how they manage to exist in an environment that is, to use Menaker's term, "insane."<br /><br /><strong style="color:rgb(34, 34, 34)">What Editors Do</strong><br /><br /><span style="color:rgb(34, 34, 34)">For twenty-six years, Menaker was an editor at the&nbsp;</span><em style="color:rgb(34, 34, 34)">New Yorker</em><span style="color:rgb(34, 34, 34)">, where he received and edited fiction by some of the outstanding writers of our time. When the&nbsp;</span><em style="color:rgb(34, 34, 34)">New Yorker</em><span style="color:rgb(34, 34, 34)">&nbsp;was purchased by Newhouse, and a new chief editor was appointed, fiction was moved to the rear, and Menaker was "offered" a job at Random House. (He says he was "recycled.") Before leaving he got this warning from John Sterling, an agent and publisher:<br /></span><br />"You do realize that what you will be doing is essentially a sales job. If seventy-five per cent of what you do now is editing and reading and writing opinions about fiction and twenty-five is office stuff and meetings and so on, that percentage will be reversed." (p 143)<br /><br /><span style="color:rgb(34, 34, 34)">Nothing could be more true. We think editors at publishing houses edit. The truth is they spend most of their time responding to memos, developing profit-and-loss statements, figuring out advances, supplementing publicity efforts, fielding calls from agents, attending meetings, and so on. They edit on weekends and evenings, and on the train as they are commuting. As Menaker puts it, "You have to give up reading for pleasure." (p 168)</span><br /><br /><strong style="color:rgb(34, 34, 34)">Insane Publishing</strong><br /><br /><span style="color:rgb(34, 34, 34)">At one point, Menaker realized that most books published by Random House (and other publishers) are privished, rather than published (p 152). By "privished" Menaker means the publisher quietly suppresses books, whether intentionally or not. A book is privished when it is not promoted, when few copies are printed, and when the publisher essentially buries it.</span><br /><br /><span style="color:rgb(34, 34, 34)">Privishing has become the norm for publishers for various reasons, the first of which is that there are limitations on budgets. The second is that editors compete for those budgets.<br /></span><br />"Now I have been senior literary editor at Random House for six months. I remain in many ways ignorant of the realities of book publishing. But it begins to dawn on me that if a company publishes a hundred original hardcover books a year, it publishes about two per week, on average. And given the limitations on budgets, personnel, and time, many of those books will receive a kind of &ldquo;basic&rdquo; publication. Every list&mdash;spring, summer, and fall&mdash;has its lead titles. Then there are three or four hopefuls trailing along just behind the books that the publisher is investing most heavily in. Then comes a field of also-rans, hoping for the surge of energy provided by an ecstatic front-page review in The New York Times Book Review or by being selected for Oprah&rsquo;s Book Club. Approximately four out of every five books published lose money. Or five out of six, or six out of seven. Estimates vary, depending on how gloomy the CFO is the day you ask him and what kinds of shell games are being played in Accounting."&nbsp;<br />&#8203;<br /><strong style="color:rgb(34, 34, 34)">A No-Can-Do Attitude</strong><br /><br />The negative attitude that editors develop about manuscripts and proposals is in part because budgets are limited, and is in part driven by competition. But mindless rejection is also an inherent feature of publishing. (Just look at these idiotic rejections of famous authors&nbsp;<a href="http://publishedtodeath.blogspot.com/2012/10/rejections-of-famous-authors-part-3.html" target="_blank">here</a>,&nbsp;<a href="http://publishedtodeath.blogspot.com/2012/10/rejections-of-famous-authors-part-2_29.html" target="_blank">here</a>, and&nbsp;<a href="http://publishedtodeath.blogspot.com/2012/11/rejectionsare-hard-on-budding-young.html" target="_blank">here</a>.) <br /><br />Menaker attributes the negativity of editors to the harsh realities of publishing, but you will notice there is a bit a glee in these comments. Editors are not only competing for budgets, they are engaged in what may be described as a pissing contest in snark.<br /><br />"Publishing is an often incredibly frustrating culture. If you want to buy a project&mdash;let&rsquo;s say a nonfiction proposal for a book about the history of Sicily&mdash;some of your colleagues will say, &ldquo;The proposal is too dry&rdquo; or &ldquo;Cletis Trebuchet did a book for Grendel Books five years ago about Sardinia and it sold, like, eight copies,&rdquo; or, airily, &ldquo;I don&rsquo;t think many people want to read about little islands.&rdquo; When Seabiscuit first came up for discussion at an editorial meeting at Random House, some skeptic muttered, &ldquo;Talk about beating a dead horse!&rdquo;&nbsp;<br /><br />You're more likely to be "right" if you express doubts about a proposal's or manuscript's prospects than if you support it with enthusiasm." (p 164)<br /><br /><strong>Putting the Random in Random House</strong><br /><br />The original impetus for Random House came from Bennet Cerf, who suggested publishing "a few random books on the side." Randomness has continued to be one of the publisher's defining features.<br /><br />"[F]inancial success in frontlist publishing is very often random, but the media conglomerates that run most publishing houses act as if it were not. Yes, you may be able to count on a new novel by Surething Jones becoming a big best seller. But the best-&shy;seller lists paint nothing remotely like the full financial picture of any publication, because that picture&rsquo;s most important color is the size of the advance. But let&rsquo;s say you publish a fluky blockbuster one year, the corporation will see a spike in your profits and sort of autistically, or at least automatically, raise the profit goal for your division by some corporately predetermined amount for the following year. This is close to clinically insane institutional behavior." (p 166, 167).<br /><br />There is, in short, very little that is sensible about the decisions made by publishers. The question that comes to mind is: How can they continue to exist in the corporate world? (The answer to that question leads to yet another disturbing question: How can any corporation continue to exist given their counter-intuitive practices?)<br /><br /><strong>Insiders and Outsiders</strong><br /><br />Menaker expresses his frustration with publishing, and with the seemingly contrary roles that editors hold, poignantly in this passage:<br /><br />"I think it&rsquo;s impossible to do an editor-in-chief&rsquo;s job very well for any length of time. If I belong anywhere, it probably isn&rsquo;t in publishing. But, then, I keep forgetting that this sense of dissatisfaction explains why work is called &ldquo;work.&rdquo; &nbsp;... When it comes to corporate life, especially at its higher altitudes, factors of all kinds tend to get tangled up with each other. And it&rsquo;s impossible to untangle them, and pointless, and fruitless, to try."&nbsp;<br /><br />Publishing is a complicated affair, but unlike Menaker, I don't think it is "impossible, pointless, or fruitless" to try to untangle the factors that drive the insane world of publishing.<br /><br />Underneath the ubiquitous background noise of runaway capitalist insanity, there is a counter-productive and equally insane attitude that publishers share with most professions. This can be summed up as "us against them."<br /><br />Humans form groups - it's what we do as a species, and we wouldn't survive without the drive to congregate. One of the things groups do is identify insiders and outsiders. This can lead to some unfortunate consequences in societies that lack a broader concept of belonging. Police, whose function is to protect and serve, come to identify "their own" as insiders, and civilians (i.e. the public) as outsiders, and potential enemies. Medical professionals end up treating patients as outsiders, people who do not share the rights, or respect, offered to their own group. Politicians end up treating their constituents as opponents, as people they need to manipulate, dominate, or avoid, rather than represent.<br /><br />Following right along, publishers identify writers as "outsiders," as "them," even though their income depends on the people they publish. This, I believe, is a significant component of the attitude that is shared almost universally among publishers, and which Menaker so eloquently describes in his book. The drawback to this adversarial attitude, particularly as it relates to publishing, is one I attempted to explain in my first meeting with my editor at Random House.<br /><br />"You sell ideas," I said. "And that is what makes publishing different."<br /><br />I don't think she understood what I was trying to say. Obviously, a lot was left out of this success story. For example, self-published authors usually don't get into the world's largest book fair.<br /><br /><span style=""></span>So, how did Seskis get to Frankfurt?<br /><br /><span style=""></span>Interestingly enough, Seskis' book,&nbsp;<em style="">One Step Too Far</em>, was published, not by Amazon or Smashwords - like most self-published ebooks - but by Kirk Parolles, an imprint that proclaims: "Gone are the days when agents, publishers and bookstores decide which books reach the reader. As publishers we may not always like it, but the truth is the books that sell may not be the ones we would have chosen &ndash; they&rsquo;re the ones that people connect with, will talk about, will stay up until 3 in the morning to find out what happened.Those are the books we seek out at Kirk Parolles, and those are the ones we&rsquo;re committed to publish."<br /><br /><span style=""></span>What is truly fascinating about this publisher is that it has only two books on its roster,&nbsp;<em style="">One Step Too Far</em>, and Seskis' next novel,&nbsp;<em style="">A Serpentine Affair</em>. What's more KP is closed to submissions. Obviously, Kirk Parolles' publishing commitment has exceptionally narrow limits. Did Seskis set up a publishing house in order to get her book to Frankfurt?<br /><br /><span style=""></span>You betcha. Authors who set up "publishing houses" to legitimize their work are rife in the industry. In fact, if you want to waste a few hours tracking down the owners of small publishing houses, you'll find their names often appear on the titles in their inventory.<br /><br /><span style=""></span>Very clever, Tina.<br /><br /><span style=""></span>(I am thinking of naming my new publishing house Random Penguin. In what is rumored to be a deal worth $500,000, Jennifer Brehl at HarperCollins&rsquo;s William Morrow imprint bought North American rights to Tina Seskis&rsquo;s novel,&nbsp;<em style="">One Step Too Far</em>.<br /><br /><span style=""></span>The debut, which was originally published in April as a Kindle e-book, went on to hit #1 on Amazon. Seskis, who grew up in New Hampshire and now lives in London, followed the e-book publication with a paperback release, and that print edition went on to hit the bestseller list of the British bookstore chain, W.H. Smith.<br /><br /><span style=""></span><em style="">One Step Too Far</em>&nbsp;follows a lawyer named Emily Coleman who inexplicably abandons her life. Despite what appears to be an idyllic existence&mdash;a beautiful two-year-old son, a lovely home, an adoring husband&mdash;Emily wakes up one summer morning, grabs her passport, and hops on a train bound from London to Manchester. Determined to leave her old life behind, Emily meets a croupier named Angel who becomes her only new friend, and who also leads her into a dangerous new existence.<br /><br /><span style=""></span>Brehl told PW that Seskis likes to refer to the book as a &ldquo;whydunit,&rdquo; because it leaves a host of questions about its heroine&rsquo;s actions unanswered.
